NetFav Terms and Conditions of Service

Use of the NetFav website and / or installing the NetFav Internet Explorer add-in, you agree to be bound by and become a party to the following Terms and Conditions.

General
This agreement shall be governed by the laws of New Zealand.and International Copyright Law.

Storage of links and files.
To agree not to upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.

Conclusion of Service
You agree that NetFav, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove and discard any Content within the Service, for any reason, including, without limitation, for lack of use or if NetFav believes that you have violated or acted inconsistently with the letter or spirit of the Terms and Conditions of Service. NetFav may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without notice. You agree that any termination of your access to the Service under any provision of this Terms and Conditions of Service may be effected without prior notice, and acknowledge and agree that NetFav may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that NetFav shall not be liable to you or any third-party for any termination of your access to the Service.

Using NetFav Storage
You acknowledge that NetFav may establish restrictions concerning use of the service, including without limitation the maximum number of days that links, stored pages and other data will be retained by the NetFav Server, the maximum number of links in total, the maximum size of any stored page, link or other data that may be sent from or received by an account on the Service, the maximum disk space that will be allotted on NetFav servers on your behalf, and the maximum number of times (and the maximum duration for which) you may access NetFav in a given period of time. You agree that NetFav has no responsibility or liability for the deletion or failure to store any links, stored pages or other data. You acknowledge that NetFav reserves the right to log off accounts that are inactive for an extended period of time. You further acknowledge that NetFav reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

Service Continuation
NetFav reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that NetFav shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Storage Content
You acknowledge that NetFav does not pre-screen Content, but that NetFav and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service. Without limiting the foregoing, NetFav and its designees shall have the right to remove any Content that violates the TOS or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by NetFav or submitted to NetFav, including without limitation information in NetFav Message Boards, and all other parts of the Service. You may not use the NetFav for any illegal purposes. This includes but is not limited to the transmission or receipt of illegal material. The user agrees not to use the NetFav to violate copyrights or to break any other forms of intellectual property law. The user agrees not to use NetFav to send spam (unsolicited advertising, bulk email, mass news posts, or any other kind of undesired large scale abuse of the net).

NetFav Software
You agree not to sell, lease, loan, distribute, transfer or sublicense the NetFav Software or access thereto or derive income from the use or provision of the NetFav Software, whether for direct commercial or monetary gain or otherwise, without Licensor's prior, express, written permission.

Use of Software
Use of the Software other than for your internal, non-commercial, operations requires that you have entered into a separate license agreement with Web Improvements Ltd. Please e-mail contact@NetFav.com for further information.

Web Improvements Ltd's Rights.
You acknowledge and agree that the Software and Documentation (the "Licensed Products") are proprietary products of Web Improvements Ltd under international copyright law and disclosed to you by Web Improvements Ltd in confidence. You shall take all reasonable steps to safeguard the Licensed Products. Web Improvements Ltd owns and will retain all copyright, trademark, trade secret and other proprietary rights in and to the Licensed Products. This License conveys to you only a non-exclusive and limited right of use, revocable in accordance with the terms and conditions of this License. In the event that you fail to comply with any terms and/or conditions hereof, this License shall terminate automatically and Web Improvements Ltd shall be entitled to all remedies in accordance with applicable law.

Your Consideration for this Service
In consideration for this Service, you agree to provide certain information about yourself as prompted to do so by the Service, and update this information as necessary to keep it current, complete and accurate. All information requested on original sign up shall be referred to as sign up data. Furthermore, you are granting NetFav.com the right to disclose to third parties certain information about you. If any information provided by you is inaccurate, NetFav.com retains the right to terminate your membership and all associated rights to the Service. NetFav.com may share, rent or sell your sign up data to any third party. After the transfer of your sign up data to a third party, if you wish to unsubscribe from that third party's emails, you must contact third party directly. NetFav.com cannot assist you with removal of emails or solicitations from the third party.

Disclaimer of Warranty
Use of the NetFav software and any data accessed therefrom is entirely at your sole risk. they are provided "as is" and without warranties of any kind.

Other
You agree that you will not sublicense, assign, transfer, pledge, lease, rent or share your rights under this License except with prior written permission from Web Improvements Ltd. You agree that you will not modify, adapt, disassemble, decompile, reverse engineer, translate or otherwise attempt to discover the source code.
